This is an advisory instrument that precedes document assembly: it analyzes the investor panel (nine identity routes covering domestic individuals, tax-exempt organizations, sovereign wealth funds, foreign individuals and corporations, per-se foreign corporations, foreign pensions, and domestic and foreign trusts with sub-routes), runs the check-the-box framework against the proposed entity (default classification under Reg. § 301.7701-3 with per-se cross-check at § 301.7701-2(b)(8), late-election relief under Rev. Proc. 2009-41, treaty residence and LOB interaction, hybrid and dual-resident considerations, and § 708(b)(2) division and merger mechanics), and generates a structuring memorandum that routes the engagement to the appropriate downstream document-assembly tool.
Access is restricted to RESERVE members. The instrument is paired with separate engagement-letter terms because the analysis crosses into bespoke counsel territory the moment a foreign investor, blocker layer, or treaty election is in play.
